Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and the operator of the Containeer platform. By creating an account or using the Service you accept them. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.
1. The Service
Containeer (the "Service") is a business-to-business data intelligence platform for commercial real estate. It aggregates, links and analyzes data derived from public government records — including SEC EDGAR filings, NYC ACRIS and Cook County records — and presents it through dashboards, search, an interactive map explorer, an API and an AI assistant. The Service is provided by Containeer, a founder-led venture in formation under Spanish law ("we", "us"). You must be at least 18 and use the Service for business purposes.
2. License to use the Service and data
Subject to these Terms and your subscription tier, we grant you a limited, non-exclusive, non-transferable, revocable license to access the Service and use the data and analytics it provides for your internal business purposes. You may export data where the product provides an export feature, for use within your organization. All other rights are reserved.
3. Acceptable use
You must not:
- scrape, crawl, bulk-download or systematically extract data from the Service other than through documented API features within your plan limits;
- resell, redistribute, sublicense or make the data available to third parties as a standalone dataset or competing product;
- circumvent authentication, rate limits or access controls, probe or test the vulnerability of the Service without authorization (see responsible disclosure), or interfere with its operation;
- share your account or API keys, or use another user's credentials;
- use the Service in violation of applicable law.
Prohibited FCRA uses
The Service is not a "consumer reporting agency" and the data is not a "consumer report" under the US Fair Credit Reporting Act (FCRA). The data may not be used, in whole or in part, as a factor in establishing an individual's eligibility for credit, employment, insurance, housing, or any other purpose regulated by the FCRA, or for any analogous eligibility decision about an identifiable individual under any other law. Any such use is a material breach of these Terms and grounds for immediate termination.
Third-party public data conditions
Parts of the Service incorporate public datasets supplied under third-party licences whose conditions pass through to you as an end user. You must not extract, copy or redistribute any underlying dataset, in whole or in substantial part, as a standalone dataset or feed, and must observe the publication date shown alongside each record rather than presenting the data as current where it may be out of date. Not investment advice
Nothing on the Service constitutes investment advice, a recommendation, an offer or a solicitation to buy or sell any security, property or other asset. The Service provides data and analytics for informational purposes only. You are solely responsible for your investment and business decisions, and you should consult qualified professional advisers before making them.
4. Data accuracy — provided "as is"
The data on the Service is derived from public records and third-party sources that we do not control. Public records contain errors, gaps and delays, and our matching, entity-resolution and enrichment processes are probabilistic. Accordingly, the Service and all data are provided "as is" and "as available", without warranty of any kind, express or implied, including accuracy, completeness, timeliness, merchantability, fitness for a particular purpose and non-infringement. Always verify critical facts against the original public record before relying on them.
5. AI features
The AI assistant generates responses with a third-party large language model. Responses may be inaccurate, incomplete or outdated, and are not investment, legal or other professional advice. Do not input personal data about third parties or confidential information you are not authorized to share. See the Privacy Policy for how chat data is processed.
6. Subscriptions, billing and cancellation
- Billing. Paid plans are billed in advance through Stripe, at the price and interval shown at checkout (plus applicable taxes).
- Automatic renewal. Subscriptions renew automatically at the end of each billing period at the then-current price for your plan, and your payment method is charged at renewal, until you cancel. This is disclosed before you pay and you expressly consent to it at checkout.
- Cancellation — as easy as signing up. You can cancel online at any time from your account settings / the Stripe billing portal, with the same ease as subscribing — no phone calls, no emails required. Cancellation takes effect at the end of the current billing period; you keep access until then. We do not refund partial periods except where required by law.
- Price changes. We will notify you of price changes at least 30 days before they apply to your renewal; if you do not agree, you can cancel before the renewal date.
- Trials. If a free trial converts to a paid plan, we disclose the conversion date and price before you start the trial.
7. API access
API keys are personal to your account. You are responsible for keeping them secret and for all activity under them; notify us immediately at privacy@containeer.com if a key is compromised and rotate it from your profile. API usage is subject to the rate limits and quotas of your plan; we may throttle or suspend keys that exceed them or that show abusive patterns.
8. Intellectual property
The Service — including its software, design, branding, database structure, analytics, derived datasets and documentation — is owned by us or our licensors and protected by intellectual property laws, including database rights. Underlying public records remain subject to the terms of their originating bodies. These Terms grant you no ownership rights. Feedback you send us may be used without obligation.
9. Disclaimers and limitation of liability
To the maximum extent permitted by law: (a) we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues, data or business opportunities, arising from or related to the Service or its data, even if advised of the possibility; (b) our total aggregate liability for all claims in any 12-month period is limited to the amounts you paid us for the Service in that period (or €100 if you paid nothing). Nothing in these Terms excludes liability that cannot be excluded by law, including liability for fraud or for death or personal injury caused by negligence, or consumers' statutory rights where they apply.
10. Indemnification
You will indemnify us against third-party claims arising from your breach of these Terms — including prohibited uses of the data under section 3 — or your violation of applicable law.
11. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access immediately for material breach of these Terms (including acceptable-use and FCRA violations) or where required by law, and otherwise with reasonable notice. Upon termination your license ends; sections that by their nature survive (IP, disclaimers, liability, indemnity, governing law) continue to apply. Data handling after termination is described in the Privacy Policy.
12. Changes to these Terms
We may update these Terms as the Service evolves. For material changes we will give registered users at least 30 days' notice by email or in-app notice. Continued use after the effective date constitutes acceptance; if you do not agree, cancel before then.
13. Governing law and jurisdiction
These Terms are governed by the laws of Spain, and the courts of Spain have exclusive jurisdiction, without prejudice to mandatory consumer or data protection rules that apply regardless of choice of law.
